These Terms of Service (“Terms”) govern your use of the CE Cloud website. By accessing or using this website, you agree to these Terms. Client projects are also governed by the proposal, statement of work, service agreement, or other written contract signed for that project. If a project agreement conflicts with these website Terms, the project agreement controls for that project.
Website Use
You may use this website for lawful business and informational purposes. You may not interfere with website security, attempt unauthorized access, introduce malicious code, scrape the website in a manner that harms its operation, impersonate another person, or use the website for unlawful or fraudulent activity.
Services
CE Cloud may provide website strategy, design, development, local SEO, Google Business Profile support, analytics, automation, reputation systems, digital consulting, maintenance, and related services. Availability, scope, timelines, and deliverables are determined in writing for each client engagement.
Proposals and Scope
Quotes and proposals are based on the information available when prepared. Work outside the agreed scope may require a revised timeline, additional fees, or a separate written authorization. Client delays, missing content, delayed approvals, or third-party dependencies may affect delivery dates.
Client Responsibilities
- Provide accurate information, content, access credentials, approvals, and feedback on time.
- Confirm that supplied text, images, logos, trademarks, data, and other materials may legally be used.
- Review deliverables and report errors or requested revisions within the time stated in the applicable agreement.
- Maintain secure access credentials and appropriate backups where responsibility remains with the client.
Payments
Payment terms, deposits, recurring charges, late fees, cancellation rights, and refund terms are stated in the applicable proposal or service agreement. CE Cloud may pause work or access to services for overdue balances as permitted by the applicable agreement.
Intellectual Property
Clients retain ownership of materials they provide. Unless otherwise agreed in writing, CE Cloud retains ownership of pre-existing materials, internal methods, reusable components, templates, know-how, code libraries, processes, tools, and systems. Ownership or licensing of final client-specific deliverables is governed by the applicable project agreement and may be conditioned on payment in full.
Third-Party Platforms
Services may rely on third-party platforms such as hosting providers, domain registrars, analytics providers, search engines, CRM systems, scheduling tools, email services, payment processors, and automation platforms. CE Cloud is not responsible for third-party outages, policy changes, price changes, account suspensions, data loss, or platform limitations outside our reasonable control.
No Guaranteed Results
Marketing, SEO, website, automation, and business outcomes depend on many factors outside CE Cloud’s control. We do not guarantee search rankings, lead volume, sales, revenue, conversion rates, platform approval, or any specific financial result.
Disclaimer of Warranties
The website and publicly available materials are provided on an “as is” and “as available” basis to the fullest extent permitted by law. We disclaim warranties that are not expressly stated in a signed agreement.
Limitation of Liability
To the fullest extent permitted by law, CE Cloud will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits, lost revenue, lost data, business interruption, or loss of goodwill arising from website use or services. Any additional liability limitations applicable to client work are stated in the applicable agreement.
